Who Needs This Service?

All corporations must follow the requirements of the Business Corporations Act. Some of the transactions they require include: filing of annual reports; conducting an annual general meeting; changing the company address or directors and the drafting of resolutions for numerous reasons, such as the issuing of dividends.

Many small businesses think that once they get their Certificate of Incorporation they do not need to do anything else but run their business. However, if they do not conduct their annual general meetings and file annual reports they will be stricken from the Register of Companies and lose their status as a corporation.

Some company owners seem to rely on the defense that they did not know they had to do these things. Unfortunately for them, the law does not accept this excuse. It is the obligation of an incorporated company to learn the requirements of the Business Corporations Act and follow them.

Recommendations:

  1. Hire us to incorporate your company or if you are already incorporated have us review your minute books to make sure you are in good standing. The longer you wait to get this fixed, the more expensive it will be.
